Micaela Santamaria Villa is an expert M&A lawyer. She has participated in numerous Due Diligence exercises and focuses primarily on transactions involving the transfer of renewable energy assets. Micaela is an active member of our team in the preparation of sale-purchase contracts with respect to renewables assets and shares in renewables companies. She has a profound knowledge of the administrative application processes involved in the transfer and greenfield development of renewables projects. She has advised on both ‘direct to pool’ and ‘auction’ projects, providing her with a detailed knowledge of the income streams renewables projects can receive in Spain. She forms part of our internal EU law team and also frequently advises on the granting of loans via crowdfunding platforms.

Micaela is part of the firm’s team collaborating with the UNEF self-consumption and PPA working groups.

She also works closely with our litigation team, in particular with respect to the Electricity Tax. She is also experienced in international winding-up proceedings within Spain, having provided advice regarding the liquidation of assets, management of employees and various related themes.

Micaela is a native Spanish and Catalan speaker and is professionally-proficient in English. She obtained her law degree from the University of Barcelona.

Prior to joining our firm Micaela worked at AAGD Abogados and Clifford Chance in the civil and commercial departments.
